Agreement to these Terms
These Terms of Service (“Terms”) form a binding agreement between you and Vybe (“Vybe,” “we,” “our,” or “us”) governing your access to our website, applications, software interface, username and social features, smart-wallet experience, payment links, notifications, and related services (collectively, the “Services”).
By accessing or using the Services, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services. Additional terms from wallet, authentication, identity, payment, card, blockchain, or other providers may apply to services they provide directly.

Eligibility and availability
You may use Vybe only if:
- you are at least 18 years old;
- you have legal capacity to enter a binding contract where you live;
- you are not subject to sanctions, asset freezes, or restrictions that prohibit your use of the Services;
- your use is lawful in your country and does not cause Vybe or a provider to violate applicable law; and
- all information you provide is accurate, current, and belongs to you.
Features, tokens, chains, limits, and provider availability may vary by country, account, device, or compliance status. A feature shown as “coming soon,” “early access,” or similar is not yet generally available and is not a promise of launch, approval, timing, or continued availability.

What Vybe is—and is not
Vybe provides software that helps you interact with third-party smart-wallet infrastructure and public blockchain networks. Unless a specific product disclosure says otherwise, Vybe:
- is not a bank, deposit-taking institution, or exchange;
- does not offer a bank account or guarantee deposit insurance;
- does not take custody of your private keys or hold your digital assets on its corporate balance sheet;
- does not control, reverse, or edit transactions confirmed by a blockchain; and
- does not provide investment, legal, tax, or financial advice.
References to “dollars” describe eligible dollar-denominated stablecoins, such as USDC or USDT, unless we expressly describe a regulated fiat or card product. Stablecoins are digital assets, not cash deposits, and may lose value.

Your account and sign-in security
When you sign in
You authorize the supported authentication provider to verify your account and connect you to the corresponding smart wallet. You must control the email, Google account, device, or other credential used to sign in.
Your responsibilities
- Keep your email, device, one-time codes, and recovery methods secure.
- Do not permit another person to use your account or impersonate someone else.
- Review security and transaction prompts before approving them.
- Notify in-app support promptly if you suspect unauthorized access.
Actions approved through your authenticated account may be treated as authorized by you. Vybe will not ask for a private key or seed phrase. Never share a one-time sign-in code with anyone claiming to be Vybe support.

Smart wallets and self-custody
When you create an account, third-party infrastructure may provision a smart wallet associated with your authentication credentials. The provider’s terms govern wallet creation, signing, recovery, and supported networks.
Self-custody means you—not Vybe—bear responsibility for authorized wallet activity, account security, recipient accuracy, and the assets you choose to hold. Wallet recovery depends on the supported authentication and recovery methods. Loss of access to those methods, provider failure, network conditions, or unsupported assets may limit access or recovery.
Only send supported assets on the displayed network. Sending an unsupported token, using the wrong network, interacting with a malicious contract, or sending to an incompatible address may cause permanent loss. Vybe is not required and may be unable to recover those assets.

Usernames, profiles, and friends
When you claim a username
Usernames are unique within Vybe, publicly searchable, and linked to the payment destination associated with your profile. You receive a limited, revocable right to use an available username; you do not buy or own it as property.
You may not choose or use a username, avatar, or profile that:
- impersonates another person, organization, or brand;
- violates trademark, publicity, privacy, or other rights;
- is deceptive, abusive, discriminatory, obscene, or unlawful;
- falsely suggests affiliation with Vybe, a provider, or a public authority; or
- is reserved, inactive under an announced policy, or used for sale.
We may rename, reserve, suspend, or remove a username to address impersonation, infringement, fraud, abuse, inactivity, or a legal requirement. Adding a friend does not verify that person’s identity or guarantee the safety of paying them. Confirm the username, avatar, and payment details yourself.

Sending and receiving digital assets
When you send
You instruct the wallet infrastructure to prepare and submit a blockchain transaction using the recipient, token, amount, and network you confirm. Review every confirmation screen. A username is a convenience layer; the transaction ultimately resolves to a blockchain address.
Finality and mistakes
Blockchain transactions are generally irreversible after submission and may be irreversible before final confirmation. Vybe cannot cancel a confirmed transaction, retrieve assets from a recipient, resolve a private payment dispute, or guarantee that a recipient returns funds sent by mistake.
Timing and display
Quotes, balances, activity, and status may be delayed, estimated, or incomplete due to indexing, provider, token, or blockchain conditions. A successful interface message does not override the authoritative blockchain record. You are responsible for checking the transaction and keeping records needed for tax or accounting.
Receiving
Before sharing a username, payment link, QR code, or wallet address, confirm that it belongs to your current profile and supports the intended token and network. You are responsible for your arrangements with the payer, including invoices, refunds, taxes, and delivery of goods or services.

Payment links, QR codes, and invitations
Vybe may generate public links or QR codes that point to a profile, payment flow, or invitation. Anyone with the link may be able to view its public contents. Do not embed confidential information in a link or share it where you do not want it redistributed.
A Vybe link does not prove that the person sharing it is trustworthy, that an invoice is legitimate, or that a transaction is required. Watch for look-alike domains, altered QR codes, social-engineering requests, and copied usernames. Use only links on the official Vybe domain and verify the recipient inside the confirmation flow.
You may use invitations for genuine personal or business referrals, but not for spam, automated distribution, deceptive promotions, or incentive abuse.

Gas sponsorship, fees, and taxes
Gas sponsorship
Vybe or a provider may sponsor network fees for eligible transactions. Sponsorship is discretionary and may be subject to limits, supported tokens, fair-use controls, provider rules, location, risk checks, and available budget. We may change, pause, or end sponsorship at any time. If a transaction is not sponsored, the interface should show the applicable network requirement before submission where feasible.
Other fees
Vybe will disclose fees it charges before you use the relevant feature. Third parties, token issuers, networks, card programs, liquidity providers, or banks may charge separate fees or apply spreads. A displayed dollar value may differ from the amount realized when assets are converted or spent.
Taxes
You are solely responsible for determining, reporting, and paying taxes arising from your digital assets, payments, income, transfers, or card activity. Vybe does not provide tax advice.

Card, on-ramp, and cash-out features
Card issuance, local-currency purchase, and cash-out features may be provided by regulated third parties and may require identity verification, liveness checks, sanctions screening, eligibility review, transaction monitoring, separate terms, and additional fees.
Joining an early-access list does not create a right to a card, account, credit line, exchange service, particular fee, rollout date, or approval. Product statements such as “$0 creation” or “$0 maintenance” refer only to the stated Vybe fees for the described product and do not eliminate network, conversion, transaction, replacement, dispute, or third-party charges that are separately disclosed.
A card provider may approve or decline an application, set limits, block merchants, reverse or decline transactions, request more information, or suspend a card under its rules. Local-currency partners may set quotes, payment methods, settlement times, and supported banks independently.

Third-party services and protocols
Vybe depends on services and systems we do not control, including Crossmint, authentication providers, Base and other blockchain networks, token contracts and issuers, RPC and indexing services, identity vendors, payment providers, card networks, banks, and internet infrastructure.
Their terms, privacy notices, availability, eligibility rules, and technical behavior may apply to you. Vybe is not responsible for a third party’s independent acts or omissions, protocol changes, insolvency, cyber incidents, de-pegging, freezes, blacklists, forks, downtime, or decisions to stop supporting an asset, country, or account.

Digital-asset risks
You understand and accept that:
- stablecoins can lose their peg, become illiquid, be frozen by an issuer, or lose all value;
- smart contracts, wallets, bridges, tokens, and networks may contain bugs or be exploited;
- blockchain congestion, reorganization, forks, and validator or sequencer issues may delay or fail transactions;
- laws, taxes, and regulatory treatment of digital assets may change quickly and differ by location;
- scams, phishing, impersonation, address poisoning, and malicious tokens can appear legitimate; and
- digital-asset balances are not necessarily protected by deposit insurance or investor-compensation schemes.
Use only assets and amounts you understand and can afford to lose. Vybe does not recommend or guarantee any token.

Acceptable use
You must not use the Services to:
- violate law, sanctions, court orders, or another person’s rights;
- launder money, finance terrorism, evade taxes, traffic prohibited goods, or process proceeds of crime;
- defraud, deceive, harass, threaten, exploit, or impersonate anyone;
- distribute malware, phishing, spam, or unauthorized promotions;
- manipulate promotions, gas sponsorship, usernames, referrals, rate limits, or eligibility checks;
- probe, disrupt, overload, scrape, reverse engineer, or bypass security except where law expressly permits;
- use automated means without written permission or access another user’s account; or
- conceal your location, identity, or transaction purpose to evade a lawful restriction.
We may use automated and manual controls to enforce these rules and cooperate with providers or authorities where legally required.

Limits, suspension, and termination
We may limit, suspend, or terminate access to all or part of Vybe if we reasonably believe it is necessary to:
- protect users, systems, providers, or the public;
- investigate suspected fraud, abuse, or a security incident;
- comply with law, sanctions, or a valid authority request;
- enforce these Terms or provider requirements;
- address technical, network, or business changes; or
- discontinue a feature or the Services.
Where lawful and practical, we will provide notice and a reasonable opportunity to address the issue. Suspension of the Vybe interface does not necessarily remove your ability to access a self-custody wallet through recovery methods supported by the wallet provider. Those methods are governed by the provider.

Content and intellectual property
Vybe and its licensors own the Services, software, design, branding, documentation, and related intellectual property. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the interface for its intended purpose.
You retain rights in content you submit, such as a permitted avatar or support message. You grant Vybe a worldwide, non-exclusive license to host, reproduce, display, and process that content only as needed to operate, secure, improve, and provide the Services.
If you send feedback, you allow us to use it without restriction or compensation, provided we do not publicly identify you without permission.

Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available.” Vybe disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, accuracy, and security.
We do not warrant that a transaction will be accepted, sponsored, confirmed, reversible, profitable, or available by a particular time; that a token will maintain value; that a username identifies a trustworthy person; or that a future feature will launch as described. Nothing in these Terms excludes a warranty or right that cannot legally be excluded.

Limitation of liability
To the maximum extent permitted by law, Vybe and its affiliates, officers, employees, contractors, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, opportunity, data, goodwill, digital assets, or business interruption.
This limitation includes losses arising from account compromise, recipient mistakes, irreversible transactions, unsupported assets, blockchain or smart-contract failure, token de-pegging, third-party services, regulatory action, downtime, or your reliance on displayed balances or estimates.
Where liability cannot be excluded, Vybe’s aggregate liability for claims arising from the Services will not exceed the greater of the fees you paid directly to Vybe during the six months before the event giving rise to the claim or US$100. This cap does not apply where prohibited by law or to liability that cannot lawfully be limited.

Your responsibility for claims
To the extent permitted by law, you will defend, indemnify, and hold harmless Vybe and its affiliates, officers, employees, and contractors from third-party claims, losses, and reasonable costs arising from your unlawful use of the Services, violation of these Terms, infringement of another person’s rights, content you submit, or disputes between you and a payer, recipient, client, merchant, or invitee.

Governing law and disputes
Before filing a formal claim, contact Vybe through in-app support and provide enough detail for us to investigate. Both sides agree to try in good faith to resolve the dispute informally for at least 30 days.
Unless mandatory consumer law requires otherwise, these Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law rules, and the courts located in Nigeria will have jurisdiction. You retain any non-waivable rights and may bring a claim in another forum where applicable law requires it.

Changes to Vybe or these Terms
We may modify the Services, supported assets, networks, providers, limits, fees, or these Terms as the product, law, security risks, or business needs change. We will post updated Terms with a new effective date and provide additional notice for material changes where required.
If you continue using Vybe after updated Terms take effect, you agree to them. If you do not agree, stop using the Services. Changes will not retroactively alter a dispute that arose before their effective date unless law permits and the updated Terms clearly say so.

General terms and contact
These Terms, the Privacy Policy, and any feature-specific terms form the entire agreement about the Services. If part of these Terms is unenforceable, the remaining provisions continue. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a reorganization, financing, merger, acquisition, or transfer of the Services.
